Nature of Job

Ensure company’s legal compliance with insurance department directives and with local, state, and federal government laws and regulations; monitor legal compliance of corporate policies, of product development updates and changes, and with employment law; oversee corporate strategic and tactical legal initiatives; provide senior management with effective legal advice on company strategies and implementation; oversee corporate legal affairs (non-claims related) and coordinate work of outside retained counsel; give oversight to negotiations of critical company contracts. Supervise assigned staff.

Duties and Responsibilities

  • Ensure compliance in areas of corporate responsibility, not including claims.
  • Maintain company policy manual and monitor policy compliance.
  • Monitor state insurance department regulations and changes for states in which we do business; work with Product Development staff to ensure product changes are compliant.
  • Maintain a registry of corporate contracts and agreements, manage renewal and notice cycles, ensure contract owner is aware and monitoring.
  • Function as Corporate Secretary; take minutes at quarterly board meetings.
  • Serve as trustee for the employee retirement plan.
  • Manage a corporate document retention plan and ensure all company departments have systems in place to comply.
  • Oversee corporate legal affairs (non-claims related) and coordinate any outside retained counsel.
  • Coordinate governance functions, annual processes, maintain minutes, etc.
  • Submit Corporate Governance Annual Disclosure (CGAD) updates per reporting requirements.
  • Monitor current and potential states for risks and opportunities to do business.
  • Support any regulatory affairs initiatives and communication with legislators.
  • Participate in the ERM and strategic planning processes.
  • Supervise and collaborate with HR; support HR safety and compliance functions.
  • Serve on the Succession Planning Committee.
  • Perform other duties as assigned by the President.
Requirements:
  • Law degree; admitted to a professional bar association.
  • Minimum of six years’ experience as a practicing lawyer, preferably in a law firm environment.
  • Experience working with matters of corporate governance and with a board of directors.
  • Experience managing cost-effective management of outside legal resources.
  • Experience in directing strategy and managing corporate litigation cases.
  • Experience in or familiarity with Property and Casualty insurance rules and regulations is preferred.
  • Ability to serve as coach and mentor for other positions within the organization.
  • Ability to travel.
