At BlueOval SK, we will lead the transformation of the electric vehicle (EV) battery business through partnership (Joint Venture formed by Ford and SK On) to provide products and processes to increase our customers’ experience. As the future of BlueOval SK, you will help lead the battery revolution by working alongside our teams as we build the batteries required for electric vehicle business excellence.

Ford and SK On are investing billions in Kentucky and Tennessee including building three state-of-the art battery manufacturing facilities between the two campuses at BlueOval City in Tennessee and BlueOval SK Battery Park in Kentucky. These brand-new advanced manufacturing facilities will use Ford’s 100-years of automobile manufacturing expertise and SK On’s 30+ years of electric vehicle battery expertise to become the world’s best battery manufacturer.

The Treasury and Funding position at BlueOval SK – BlueOval City in Stanton, Tennessee will have a unique, once-in-a-lifetime opportunity to be a key member of the start-up team, launching the facility from ground up .

The Legal, Risk and Compliance Manager will report to the CEO and the CFO, as well as to the Audit and Risk Management Committee of the Board. This position will be a part of the BlueOval SK leadership team.

The Legal, Risk Compliance Manager will be the Company’s first and only in-house attorney and will be responsible for providing legal advice, counsel and representation to the Company’s leadership and management teams as needed across a broad range of business functions, including corporate governance, procurement and commercial transactions, compliance, HR and employment, disputes and litigation, insurance and risk management, and other matters that requiring legal or compliance-related leadership or support

The Legal, Risk Compliance Manager role will include the performance or oversight of the following key job duties:

  • Advise Company management and other Company representatives on matters such as legal exposure, risk management, and new and existing laws
  • Plan and develop solutions to existing or potential legal problems and disputes, and advise Company management concerning the Company’s legal rights and obligations
  • Manage and oversee of the Company’s corporate governance process and matters, and maintain knowledge of the Company’s key operations and legal documents
  • Establish, implement, and manage the Company’s corporate compliance program, including the Company’s corporate policies, compliance training, and management of internal compliance investigations, as well as periodic reporting to the Company’s Board, SK On, SKBA (US subsidiary of SK On), and Ford
  • Review, draft, negotiate and provide legal analysis and counsel on procurement and other commercial agreements and resolve disputes in regard thereto
  • Advise the Company’s HR and leadership teams on general employment matters
  • Manage Company litigation, disputes, and investigations
  • Represent the Company in dealings with third parties, including customers, lenders, and federal, state, or local agencies or representatives
  • Select and manage outside counsel to optimize the provision of legal services to the Company in an efficient and cost-effective manner
  • Interact and collaborate with SK On and Ford legal teams as necessary or advisable
  • Select, manage, and coordinate in-house paralegal to support legal services to the Company
  • Prepare and review presentations, documents, and pleadings as relevant and necessary and associated with the above matters or any other matters assigned to the role

Minimum Qualifications and Key Experiences
  • Juris Doctor degree from an accredited law school in the US
  • Licensed to practice law in at least one state and eligible for admission to practice in Tennessee and Kentucky
  • 8-15 years of experience in a US law firm or company as Assistant General Counsel or senior legal counsel (automotive supplier or OEM experience preferred) with meaningful experience in the following areas:
  • Corporate governance, including managing corporate Board matters and processes
  • Drafting and negotiating procurement and other commercial agreements, including resolving related disputes
  • Implementing and managing corporate compliance programs
  • Managing litigation
  • General HR and employment matters
  • Reputation for high ethical standards and integrity
  • Strong analytical, interpersonal, communication, and writing skills
  • Experience in project planning, management, and implementation, including leadership and management of cross functional teams
  • Must be self-driven and comfortable independently managing multiple simultaneous projects and deadlines
