This is a unique opportunity to work in the Legal Department of the renewable energy business of a publicly-traded diversified energy company, AVANGRID, Inc. (NYSE: AGR). The Corporate Paralegal at Avangrid Renewables provides support to the Legal Group located in Portland, Oregon, in a variety of areas relating to renewable energy projects. Utilizing best practices, the Corporate Paralegal works with a highly-valued and experienced legal team as part of a global network that is part of the Iberdrola Group. This position is fast-paced and interacts with every level of the company. You will be responsible for assisting the attorneys in the group on a variety of matters and assisting the Corporate Secretary in general corporate governance matters, including creating and maintaining all entity registration and renewals, drafting of bylaws and operating agreements, maintenance of officer/director slates, company organization charts and the maintenance of meeting minutes and Board approvals into the corporate records.

Responsibilities

  • Maintain and support domestic legal entity governance and compliance, including formation documents, board and shareholder meetings, unanimous written consents, secretary certificates, minute books, local government filings.
  • Compile and maintain electronic and physical records of documentation required for legal matters and projects.
  • Contribute to corporate public company compliance initiatives, assist with quarterly and annual reporting, and Sarbanes Oxley (SOX) testing.
  • Partner on legal operations projects and strategy execution to drive efficiency and productivity within the department.
  • Coordinate all aspects of contract administration, including basic review, drafting and negotiation, managing approval and signature processes, distribution and archiving, and escalating issues.
  • Assist with corporate due diligence and commercial transactions and closings, including in real estate transactions.
  • Assist with preparation and finalization of Non-Disclosure Agreements and other routine contracts.
  • Assist where needed in other aspects of the work of the Legal Group.

Skills and Requirements

  • Bachelor's Degree and/or relevant certificate from college or technical school. Paralegal certificate preferred but will consider comparable relevant experience in lieu of certificate.
  • 3-5 years of relevant corporate legal experience with a paralegal certificate or equivalent.
  • A curious nature paired with a passion for learning with a positive and supportive approach.
  • An aptitude for technology and using it to creatively solve problems. Prior experience with MS Office Suite required, familiarity with SAP, CSCNavigator, TEAMs, Legal Tracker e-billing and DocuSign, or any similar systems a plus.
  • Self-motivated with a strong attention to detail, superior organizational skills, high integrity, and consistent follow-through on tasks.
  • Excellent written and verbal communication skills.
  • An interest in being an active and collaborating member of a team that enjoys working to combat global climate change.
  • A desire to represent the Legal Group in community outreach consistent with Avangrid Renewables’ values.
