This is 5 days in-office position located in Baltimore, MD.

The Senior Legal Counsel will be involved in all aspects of Luminace’s legal function, interacting with all areas of the business and primarily with the development and operations teams. Experience in the energy or infrastructure sectors, primarily with project contracts, is required. Experience in the distributed energy resources sector, and with project finance, tax equity finance, land use, and energy regulatory matters would be considered an asset. This position reports to the Senior Director of Development Legal and will be based in Baltimore, MD.

Responsibilities

  • Manages and supports transaction execution for project-level acquisitions and originations of new distributed energy resource projects, including drafting and negotiation of purchase and sale agreements, development agreements, power purchase agreements, community solar subscription manager and subscription agreements, construction agreements, operation agreements, site control agreements, interconnection agreements, SREC and related incentive agreements and more
  • Leading on transactional matters affecting Luminace’s operating fleet of distributed generation projects, including customer buy-outs, re-roofings and repowerings
  • Adherence to requirements of financing transactions including construction financings, tax equity financings, securitizations and permanent financings in the form of bank debt and private placements
  • Supervising external transactional and litigation counsel on a variety of matters
  • Assisting on strategic transactions as they arise
  • Liaises with the legal groups of portfolio businesses on internal governance requirements and funding processes
  • Drafts, reviews, negotiates and interprets contracts and agreements
  • Interprets and explains legal requirements and assists the organization with compliance with statutes, regulations and industry rules, standards and the sharing of knowledge with other U.S. lawyers
  • Provides support to the General Counsel and senior legal team on an ongoing, proactive basis in the provision of legal services

Qualifications:

  • Approximately five (5) to ten (10) years of relevant, post-qualified legal experience gained practicing law with a well-regarded law firm or in a similarly situated corporation’s legal department
  • A law degree (JD or LLB) and membership in good standing of a state bar
  • Strong background in commercial contracts, especially those in the energy and infrastructure space
  • Experience in the distributed energy resources space and with renewable assets
  • Background in M&A and project finance (including bank debt, private placements and tax equity financings) an asset
  • Transaction management experience, including the ability to lead a transaction and effectively manage workload and timelines
  • Ability to present clear and concise legal advice and to propose practical solutions
  • Experience in drafting and negotiating commercial contracts
  • Strong legal, contractual drafting and analytical skills combined with attention to detail and thoroughness
  • Strong negotiating skills
  • Ability to work in a dynamic, fast-paced environment and to adapt quickly to changing priorities
  • Ability to work in a collaborative manner both inside and outside the organization
