Summary

Spire is seeking a Counsel, Transactions. This position will be responsible for providing legal counsel and advice to Spire and its subsidiaries in transactional matters, specifically, Spire’s shared services functions in procurement related matters. These functions include: information technology, corporate communications, facilities, fleet, accounting, human resources, environment, health and safety (EH&S), security, and customer experience. The ideal candidate will have significant experience with technology contracting.

Duties and Responsibilities

  • Act as lead internal counsel to Spire’s Information Technology, Accounting, Corporate Communications, Corporate Security and Customer Experience.
  • Provide procurement contracting support to Human Resources, EH&S, other shared service functions, and potentially certain business units.
  • Counsel corporate decision-makers regarding business and legal issues – identifying and working to mitigate risks and exercising sound judgment to assist the business in its stated objectives.
  • Negotiate, review and prepare a wide variety of agreements, including services agreements, supply agreements, consulting agreements, confidentiality agreements, and various other commercial agreements.

Supervisory Responsibilities

  • None at this time; however, the applicant must possess the leadership and management skills necessary to assume supervisory responsibilities in the future.

Required Education (certifications, licenses)

  • Juris Doctorate3 to 7 years of experience practicing law at a medium to large private law firm or in-house or both.
  • License (or ability to readily obtain license) to practice law in Missouri, full admission or limited admission as an in-house counsel.

Required knowledge, skill and abilities

  • Substantial experience in commercial contracting, experience in real estate preferred.
  • Knowledge of standard and nonstandard contract terms and conditions.
  • Experience in regulated energy businesses ideal, but not required.
  • Demonstrated ability to work in a team environment and across departments in a collaborative and cooperative manner

Physical demands, environment and schedule

  • Typically, 8:00 a.m. to 5:00 p.m. Monday through Friday
  • An additional 10 to 15 hours per week may be required to complete projects
  • Occasional travel
  • The work is performed in a sometimes moderately noisy business office.
