A DAY IN THE LIFE:
This position is responsible for all aspects of the Company’s equity programs, which include stock options, restricted stock units (RSUs), and an employee stock purchase plan (ESPP). Work closely with our transfer agent, legal counsel and executive management to provide thought leadership in plan design, plan reporting, and plan operations. This person will ensure all equity transactions are properly processed and appropriate tax and regulatory filings are timely and accurate.
YOU’RE AWESOME AT:
This role is open to Remote as well as Hybrid or Onsite.
- Manage all aspects of the Company's equity incentive plans for domestic and international employees. Manage all equity transactions in Shareworks by Morgan Stanley, including but not limited to new grant issuances, stock option exercises, RSU releases, and 10b5-1 planning and education, etc.
- Manage ESPP open enrollment processes, including education for employees, and perform scheduled purchases in Shareworks.
- Supervise the preparation and filing of Section 16 reports (Forms 3, 4 and 5) in conjunction with SEC reporting and legal teams.
- Manage all processes related to stock plans for month end accounting closes and partner with payroll for relevant month end reconciliations.
- Partner with Human Resources, Finance & Legal departments to ensure validity of data in the stock database and process changes timely.
- Maintain and update process documentation for equity plan procedures .
- Provide customer service to internal and external stakeholders on a variety of issues relating to stock plans and equity compensation.
- Maintain the insider trading listing and enforce the insider trading policy and blackout windows.
- Manage year-end statements and Section 6039 tax filings related to stock option exercises, and ESPP distributions.
- Generate reports and maintain reporting changes as needed for audit, tax and legal filings.
- Oversee and ensure timely completion of quarterly stock compensation-related disclosures, as well as annual proxy reporting, and ad hoc management reports.
- Adhere to SOX procedures related to equity processes and drive any other projects pertaining to equity and stock administration as needed.
- Organize and present on Company stock plan benefits, updates, and future planning at recurring management-level and company-wide educational meetings.
- Ensure compliance with company policies, including Privacy/HIPAA, and other legal and regulatory requirements.
- Recommend, develop, and implement systems and procedures to automate and streamline stock administration functions. Review existing processes and design new processes or enhancements for scale, balanced with the need for accuracy and compliance.
- Lead and represent the stock team through new processes and projects (e.g., mergers and acquisitions, design and rollout of equity programs in new countries outside the United States, implementation of stock plan service platform modules, new compliance programs, etc.).
EXTRA AWESOME:
- Bachelor’s degree in business administration, accounting, or finance or equivalent combination of education and applicable job experience.
- CEP certification preferred.
- Supervisory/Management experience with a stock team is highly desired.
- Excellent communication skills, both written and oral.
- 10+ years of experience with stock plan administration at public companies.
- Adept at creating and communicating a clear vision and expectations at all levels including Board members, senior management and within the finance department.
- Strong experience over stock plans in Shareworks by Morgan Stanley.
- Excellent management, organizational and supervisory skills.
- Solid understanding of equity plans and various equity award types and related administration, accounting, and taxation in the United States and internationally.
- Ability to communicate and work with a wide variety of individuals at all levels.
- Skilled at effectively communicating department or area issues and results within and across functional areas and conducting presentations of technical information concerning specific projects or timelines. Comfortable presenting to and advising executive management. Able to gain cooperation of others.
- Proven leadership skills with the ability to develop team members.
- Proficiency in MS Office applications, particularly MS Excel and PowerPoint.

COMPENSATION & BENEFITS:
The starting base pay range for this position is $125,000 - $140,000 annually. Base pay will vary based on job-related knowledge, skills, experience and may also fluctuate depending on candidate’s location and the overall job market. In addition to base pay, Tandem offers a competitive compensation package that includes bonus, equity, and a robust benefits package.
Tandem offers health care benefits such as medical, dental, vision, health savings accounts and flexible saving accounts.
