The Tax Manager position is responsible for maintaining and overseeing the planning, compliance and accounting for the various federal, state, and local tax requirements and regulations for the Company and its investees. This position will work with multiple jurisdictions, CPA firms, equity partners, and attorneys to accomplish these responsibilities.

Essential Duties and Responsibilities

The activities listed below are not all inclusive; however, they are indicative of the type of activities normally performed by the Tax Manager. Other duties may be assigned.

  • Ensure the timely and accurate filing of all federal, state, and local tax returns for the company and its investees, including complex joint venture, REIT, fund and corporate returns as prepared by third party CPA firms
  • Prepare or review journal entries related to tax refunds, payments, withholdings, and distributions at the corporate, fund, REIT, and joint venture level
  • Prepare tax projections for various entities' estimated tax liability
  • Track tax, 704b and GAAP basis for the company’s investees
  • Liaison to attorneys and accounting team for legal entity matters related to registrations, withdrawals, dissolutions, legal entity reporting structures, election follow up and other matters as needed
  • Develop relationships with ownership, JV partners and company stakeholders to provide accounting and tax assistance, as well as effectively communicate various tax matters
  • Oversee, manage and coordinate responses to IRS, state and local agencies regarding audits, inquiries and tax notices
  • Forecast franchise and excise taxes on potential real estate acquisitions
  • Prepare quarterly REIT Asset Test and annual REIT Income Test which includes calculating earnings and profits to determine treatment of the REIT distributions
  • Perform REIT due diligence on potential acquisitions
  • Obtain FEINs for new entities as needed
  • Review partnership agreements and advise on the corresponding tax consequences, including preparation of proforma tax and 704(b) capital accounts based on the relevant waterfall or target allocations as provided for in the agreements
  • Research and review work papers for various book to tax differences
  • Support all financial related audits including compliance, internal and external audits
  • Maintain records and filing systems, making sure that all documents are secured
  • Manage state legal representation relationships (CT Corp) and ensure secretary of state filings are current
  • Prepare and manage 1099 reporting
Requirements:

You Have:

  • A four degree from an accredited institution
  • A degree and/or CPA designation strongly preferred
  • General understanding of real estate entities, related reporting and accounting
  • General understanding of pass-through entity taxation and current tax law
  • Familiar and comfortable with distribution waterfalls
  • Ability to work autonomously and handle multiple tasks
  • Quantitative and qualitative decision making ability
  • Three years of experience in a tax-related role
  • Tax experience with private equity or real estate funds preferred
