Wilson Sonsini is looking for a dynamic attorney with 5-8 years of government contracts experience (procurement contracts of all types, cooperative agreements, cooperative research and development agreements, technology investment agreements, grants, loans and loan guarantees) to work with our cutting edge National Security, Energy and Climate Solutions, and Technology Transactions practices. We advise on government contracts, agreements, grants and loans and negotiate terms of subcontracts, teaming agreements and other prime contractor/subcontractor relationships. We also advise on evolving areas of government contract compliance, and counsel companies, investors, and deal teams on the effect of government contracts on M&A and financing transactions. Experience with FAR (Federal Acquisition Regulations), DFARS (Defense Federal Acquisition Regulation Supplement), and DEAR (Department of Energy Acquisition Regulation) is required, and knowledge of GSA Supply Schedule contracts, SBA/SBIR rules, NNSA (National Nuclear Security Administration) regulations, the USDOE Loan Program, and/or Federally Funded R&D Centers is highly desirable, as is experience with the Bayh-Dole Act and data rights, Buy-America/domestic content sourcing and Davis-Bacon Act compliance and a working knowledge of prevailing wage and apprenticeship programs and requirements. Preferred industry areas of focus include new energy and industrial decarbonization technologies, critical minerals, and semiconductors as we assist our clients in securing opportunities created by the Inflation Reduction Act, Bipartisan Infrastructure Legislation, and CHIPs & Science Act. The compensation range and benefits for this role are described below.
    • Salary range of $345,000 - $415,000, based on year classification.
    • Discretionary merit bonuses may also be awarded.
