POSITION SUMMARY:

Perform a variety of complex legal, research, administrative and clerical duties requiring the application of specialized knowledge and understanding of technical and legal terms and procedures within the legal department primarily in the areas of Corporate and Securities (including global entity management and providing support to the General Counsel on filings), Insurance and Risk Management, Compliance, and providing assistance to the General Counsel across various matters, including assistance with legal research, as appropriate.

ESSENTIAL FUNCTIONS:

  • Corporate entity management including maintaining all corporate books for our entities; draft various resolutions in conjunction with or under the supervision of counsel; liaise with non-U.S. colleagues and outside counsel, as needed, for non-U.S. entities.
  • Assist the General Counsel with various matters, as requested, including SEC filings, annual meeting of shareholders, and corporate insurance matters.
  • Manage the Company’s compliance program and policies, including various training programs.
  • Perform both routine and project specific legal research, as requested.
  • Prepare correspondence, agreements, and legal forms from rough copy, abbreviated or shorthand notes.
  • Provide administrative support to the General Counsel, as requested, including scheduling meetings.

REQUIREMENTS:

  • Education/Experience: College diploma or equivalent preferred, plus at least five years of experience or combination of experience and specialized paralegal or legal secretarial education
  • Experience in a corporate legal department is preferred
  • Completion of a paralegal program is strongly preferred
  • Experience with corporate entity maintenance, including maintenance of corporate books
  • Experience with corporate compliance matters is a plus
  • Ability to compose, type and assemble information in proper legal form
  • Ability to conduct legal research based on instructions from an attorney
  • Set up and maintain a wide variety of legal files, records and reports
  • Ability to exercise discretion and independent judgment on various matters of significance
  • Follow complex oral and written instructions
  • Prepare routine legal documents without the assistance of an attorney
  • Communicate effectively, both orally and in writing
  • Commute to our Montvale, NJ headquarters
  • Hybrid work model (expected to be in the office three days a week)
  • Ability to multi-task, take initiative and be adaptable
  • Highest level of integrity, sound judgment and strong work ethic
  • Maintain regular office hours
  • Establish and maintain effective working relationships with those contacted in the course of work
  • Analyze situations and adopts effective course of action
  • Type accurately at speed necessary for successful job performance
  • Ability to organize and prioritize various demands to meet deadlines
  • Ability to efficiently accomplish the above duties and responsibilities
  • Knowledge of basic legal concepts, principles, and procedures including calendaring and filing practices; legal and business terminology, spelling, grammar, and punctuation; MS Office suite including PowerPoint and Excel; operation of basic office equipment including computer, telephone, fax, typewriter, copier, and calculator
  • Other duties as assigned
