SUPERVISES: Legal and Compliance Department Personnel
POSITION OVERVIEW: The Vice President of Legal Affairs will serve as the Company’s General Counsel, head of Compliance and as the Chief Compliance Officer. This position will have direct responsibility for managing the day-to-day activities of the Legal and Compliance departments. As General Counsel responsibilities include efficiently managing a broad spectrum of legal issues that include, without limitation, employment and labor law matters, commercial and government contract terms and conditions, corporate governance and all matters in litigation or which have the potential to lead to litigation. As Chief Compliance Officer, has ownership of compliance and is responsible to oversee compliance within the organization; ensuring Company policies and procedures are understood and respected by employees; the Company‘s Standards of Conduct are in place and enforced; and Company functions in compliance with legal, regulatory, contractual, and other governance initiatives. Executive leadership responsibilities include strategic planning and implementation of company objectives focused on sustainable growth and profitability through a culture of continuous improvement.
DUTIES / RESPONSIBILITIES:
Duties and responsibilities include, but are not limited to, the following:
  • Provide expert and strategic legal advice to executives and senior leaders
  • Manage in-house and external attorneys to provide all needed legal services to the Company with a focus on achieving desired results while closely managing cost and risk
  • Provide legal guidance on establishing internal governance policies
  • Develop, implement and managing Company’s compliance program
  • Support investigations of alleged, suspected, or potential violations/incidents of compliance policies and procedures. Take action in dealing with noncompliance situations and identifying potential vulnerabilities, creating realistic plans to overcome them by creating and managing effective action plans and corrective measures.
  • Actively participate as a Company executive in strategic planning and implementation of stated objectives
  • Work with executives and senior leaders on matters related to compliance with all federal, state, city, and county laws and regulations
  • Work closely with Executive team to ensure the continuous improvement of compliance programs and advise on possible risk areas
  • Liaison with Government officials on legal matters related to the Company’s contracts, operations and other critical aspects of the business
  • Review contracts and provide guidance on acceptable terms and conditions
  • Manage, and, as feasible, participate in, all aspects of litigation for which the Company is involved
  • Provide legal and compliance updates to the President and Board of Managers as requested
  • Participate in committees as requested
  • Assist in managing and protecting the Company’s Intellectual Property
  • Coordinate legal strategies and related matters with Corporate legal counsel
QUALIFICATIONS / KNOWLEDGE / EXPERIENCE:
  • Juris Doctorate from an accredited law school
  • 10 years’ experience as practicing attorney and/or corporate attorney preferred
  • Currently licensed and a member in good standing preferable with the Alabama State Bar
  • Strong communication and organizational skills; a critical thinker and strong negotiator; a proven leader and teammate; highest ethical and moral integrity
  • Previous experience in government contracts and/or maritime industry preferred
  • Degrees in business, human resources, industrial engineering or related fields preferred
  • Team player and business partner
ADDITIONAL GUIDELINES:
  • The ability to obtain and maintain a DoD clearance may be required if deemed necessary in the scope of your position responsibilities.
  • Candidates must meet the following employment eligibility guidelines to be eligible for employment with Austal USA:
    • 18 years or older at time of application
    • Able to provide proof of US Person status (permanent resident or citizen)
    • No felony convictions of theft/deception or violent crimes within seven years from disposition date
    • No felony convictions of drug crimes within three years from disposition date
    • Willing to submit to a drug screen
    • Willing to submit to a background check
  • Willing to travel up to 15% of the time
